Terms of Use

This Terms of Use, along with the Privacy Policy, is a legal agreement between Flame Media Joint Stock Company (referred to as "Company," "FM," or "we") and any individual or organization (referred to as "Customer" or "User") who registers for or uses the services we provide.

This agreement sets out the terms under which the Customer uses the Easy AI Chatbot Software Platform ("Agreement"). The Easy AI Chatbot is developed and copyrighted by FM (referred to as "Service," "Easy AI," "Software Platform," or "Platform"). FM and the Customer are collectively referred to as "both parties" or "the parties," and individually as "a party."

By completing the registration process, accessing, or using the Service, the Customer confirms that (i) they have read, understood, and agreed to all terms in this Agreement; (ii) they are the Account holder or authorized to act on behalf of the holder and can bind them to this agreement; (iii) they use the service for commercial/business purposes or other purposes that fully comply with the law.

By ticking the box "I agree to the Terms of Service" on the Agreement, the Customer agrees that these terms will apply if the Customer chooses to access or use the service, and this tick means that both Parties have agreed to all terms of the Agreement and are considered to have signed this Agreement.

Definitions

"Service" means any service or application provided by Easy AI to the Customer (a) on a trial basis, (b) free of charge, or (c) as a Paid Service. The Service does not include Third-Party Services, Experimental Features, or Beta Services. "Account" means the account created or activated by the Customer to use Easy AI's Service. "Confidential Information" means any and all non-public information, including but not limited to computer programs, hardware, software, technical information, algorithms, formulas, drawings, designs, processes, ideas, inventions, business, sales, financial, plans, know-how, terms of agreements, negotiations, or proposals, all data, and other information provided by Easy AI, whether directly or indirectly, in any form and format. Confidential Information is disclosed by Easy AI to the Customer or the Customer's authorized representatives, and the Customer shall not use, disclose, or redistribute it in any form without the prior written consent of Easy AI. "Customer Data" means data, information (including but not limited to Personal Data), and any documents, texts, content, phrases, images, entries uploaded or created on the Platform, or transmitted or stored on the Platform by the Customer, the Customer's authorized representatives, or any End Users; or provided by or to the Customer to or through the Service. "Personal Data" means any information relating to an identified or identifiable individual under the Customer's Account, who can be identified directly or indirectly. "End User" means the Customer's customers. Individuals accessing a Customer's domain integrated with or using our Service are considered End Users. "Contract Template" means any applicable order document between the parties specifying the agreed-upon price for certain Services and other commercial terms. "Website" means any domain or application operated by Easy AI from which the Service is available to the Customer.

General Provisions

1.1. The Customer's Internet access is not subject to the Agreement, and Easy AI does not guarantee the compatibility of the provided Service with other vendors' software. The Customer is solely responsible for the functionality of their Internet network, including their own transmission lines and hardware. 1.2. The Service is governed by the current version of the Agreement available on the Service-related Websites. We recommend that Customers regularly check the latest Agreement. We may modify the Agreement or any part thereof at our discretion from time to time without prior notice. When updated, the new version will immediately replace all previous versions and become effective and binding immediately upon posting on our Service-related Websites. However, modifications affecting payments will be notified in writing at least thirty (30) days before implementation. If the Customer does not agree with the changes to the Agreement, the Customer has the right to delete their Account at any time and stop using the Service. If the Customer does not have any formal response and continues to use the Service, we understand that the Customer agrees to the new terms, and changes related to payments are also considered accepted and binding.

Access and Use of the Service

2.1. When creating an Account and during the term of the Agreement, the Customer must provide and update complete, accurate, and truthful Account information as required to create and maintain the Account. 2.2. In the event that the Customer transfers their Account to an authorized organization or individual for administrative purposes, the transfer of the Account will not exempt the obligations under the Agreement. The use of the Service will continue to be subject to the Agreement. 2.3. The Customer agrees and acknowledges that access and use of the Service must comply with the specific limits set by Easy AI. Our Service can only be accessed by logging into the Service on a specific Website. If the Customer exceeds the established usage limit or if Easy AI determines, in its sole discretion, that the usage is excessive, abnormal, or will adversely affect the operation of the Service, Easy AI will have the right to (i) charge at the current list price for any additional Services and Account subscriptions necessary to cover the excessive usage; or (ii) immediately restrict, suspend, or terminate the Contract or excessive usage Service. The Customer is solely responsible for protecting and properly storing login information. The Customer is solely responsible for all costs and damages arising from excessive usage, including additional fees. 2.4. The Customer is responsible for ensuring compliance with the provisions of the Agreement by the Customer and End Users for any and all activities occurring under the Customer's Account. The Customer fully warrants that the use of the Account and Service to store and transmit Customer Data complies with all applicable laws and regulations, as well as any and all privacy policies, agreements, or other obligations that the Customer may maintain or enter into with End Users. 2.5. The Customer is solely responsible for obtaining the required authorizations, licenses, or consents under any applicable laws to provide the Service to End Users. When the Customer provides any Customer Data to Easy AI, the Customer (whether the Customer or an administrator acting on behalf of the Customer) represents and warrants that the Customer has full authority to provide us with that Customer Data and will not violate (i) any applicable laws, (ii) any intellectual property rights, privacy rights, publicity rights, or other rights of third parties, or (iii) any policies or terms of the Customer or third parties governing the Customer's Data. 2.6. The parties acknowledge and agree that the Service will be accessible from the time the registration process is completed, which also starts the data processing activities under the Account. The Customer understands and agrees that Easy AI collects and uses Customer Data, Account-related information, or any form of communication from the Customer with Easy AI in accordance with our Privacy Policy. 2.7. The Customer understands and accepts the technical requirements necessary to use the Service, as well as the risks associated with electronic data transmission.  

Usage Policy

3.1. The Customer is solely responsible for Customer Data and all activities occurring under their Account and agrees not to access or attempt to access other Customers' Accounts and/or data. The Customer is solely responsible for their Customer Data and the consequences of posting or publishing them through the Service in any form. In any case, Easy AI will not bear any responsibility or liability for Customer Data, other materials, or copyrighted materials such as literary works, texts, images, photos, videos, and any other forms of materials, which as part of the Customer Data may be sent, provided, created, formed in any way by the Customer, End Users while using the Service. 3.2. Easy AI is not responsible for how the Customer uses the Service and Customer Data. We do not access, view, disclose, or monitor any data or content, or use of the Service ("Access") stored in Customer Accounts, including personal or proprietary information ("Customer Data"), except as permitted by the Agreement, including the following temporary Access cases: (i) to perform specific Account activities or as requested by the Customer when using support services; (ii) to maintain the operational functionality of the Service, including but not limited to performing maintenance, backups, technical issues, or troubleshooting; (iii) when required by law or to respond to legitimate legal requests such as court orders, other judicial or administrative processes as stated in our Privacy Policy, in which case we will notify the Customer of such Access unless prohibited by law; (iv) to ensure the security of the Service or comply with our policies, especially when we determine such Access is necessary to protect systems, individuals, prevent fraud, or comply with legal obligations. 3.3. The Customer must comply with applicable laws, the Agreement, the Service Usage Guide, including but not limited to the following prohibited actions: (i) transmitting illegal, harmful, fraudulent content; (ii) violating the rights of others or posing threats; (iii) infringing intellectual property rights; (iv) disrupting, harming, threatening the Service, such as: interfering, infringing rights, sending viruses, hindering operations, reverse engineering, unauthorized access, creating false identities, violating privacy; (v) violating consent requirements when collecting, monitoring data; (vi) harming Easy AI's business and reputation; (vii) allowing or encouraging anyone else to perform any of the actions listed above. 3.4. We have the right to suspend or terminate the Customer's Account access without notice in the following cases: (i) the Customer violates the Agreement or as requested by competent authorities; (ii) the Customer'actions harm the business, services, other users, or third-party rights; (iii) we suspect the Customer is using the service improperly or illegally; (iv) a serious threat of imminent danger or harm; (v) other cases to ensure the safety and security of the Service. When suspended/terminated, the Customer will lose access, Data may be deleted, the suspension period may be temporary or permanent, and we are not responsible for the consequences. 3.5. The Customer is responsible for maintaining a network connection to access the Service, including installing appropriate browser software and complying with the Service's access procedures. We are not responsible for notifications about Service upgrades or data breaches over networks beyond our control. The Customer must ensure the Account is compatible with the current Service. We are not responsible for the reliability or performance of the network connection or data issues when the Customer transmits over the Internet network beyond our control. 3.6. The Customer may only use the Service for lawful purposes, without violating the Terms of Use, Service descriptions, and related documents, and without infringing Easy AI's rights. The Customer must prevent unauthorized access from third parties; and must not lend, sell, or grant access to the Service to third parties without our consent. This behavior will be considered a violation and may result in the suspension or deletion of the Account under the Agreement. 3.7. The Customer must not modify or change the purpose and use of the Service during the term of the Agreement or the applicable Contract Template, if any. Deceiving others about the existence of cooperation, affiliations, relationships, or acting on behalf of Easy AI is prohibited.

Third-Party Services; Third-Party Components

4.1. The Customer can link the Service with Third-Party Services. Easy AI does not control those Third-Party Services. The Customer is responsible for obtaining End User consent or complying with related legal obligations. We are not responsible for the privacy, security, integrity, practices, or policies of Third-Party Services. Third-Party Services are provided on an "as is" and "as available" basis, and Easy AI is not responsible for damages arising from the installation or use of Third-Party Services. When linked, Third-Party Services may automatically upload/download data and traffic necessary to provide and maintain the Service. The Customer should carefully read the Third Party's legal documents before use. 4.2. Easy AI will not bear any liability, directly or indirectly, for any damage or loss related to the use of or reliance on any services, content, or products from Third-Party Services. The Customer acknowledges that AI-based support may provide inaccurate, outdated, or inconsistent information. The Customer needs to verify AI-generated responses themselves. We do not guarantee the accuracy or reliability of AI-based responses and disclaim responsibility for any errors or inaccuracies. 4.3. The Service may include third-party software, files, or components that are subject to open-source or third-party license terms ("Third-Party Components"). The Customer's right to use Third-Party Components depends on the accompanying license terms. If there is a conflict with the Terms of Use, the Third-Party Component license terms will prevail for that Component. The Terms of Use do not apply to Third-Party Components, and Easy AI is not liable in relation to them. Easy AI is not the author, owner, or licensor of Third-Party Components and makes no commitments about their quality or capabilities. The Service (excluding Third-Party Components) will not be considered open-source or public.

Ownership and Confidentiality

5.1. We own and retain all rights, interests, title, and intellectual property rights in and to the Service, data, documents, materials, features, software, and underlying technology (including the Website) used to provide any Service and all other materials that Easy AI grants access to or makes available under the Customer's Account. Easy AI is permitted to update, improve, modify, replace, or discontinue operations at its sole discretion and is not liable. 5.2. The Parties agree that any Confidential Information or part thereof, whether written or otherwise, provided by Easy AI shall only be disclosed to the Customer, solely for informational purposes under the confidentiality terms herein. 5.2.1. This disclosure does not grant the right to use or further disclose Confidential Information by the Customer to any third party without the prior written consent of Easy AI. The Customer acknowledges and agrees that such Confidential Information is the exclusive and unique property of Easy AI and that all Confidential Information and its derivatives remain the exclusive and unique property of Easy AI. No license or other right to such Confidential Information or Easy AI's intellectual property is granted or implied herein to the Customer. 5.2.2. The Customer undertakes to protect the confidentiality of Confidential Information provided by Easy AI and to prevent unauthorized use or disclosure. The Customer may only disclose it to relevant parties when necessary and bound by a confidentiality agreement. The Customer must not use Confidential Information for any purpose other than as permitted, unless with the prior written consent of Easy AI. The Customer also has an obligation to take commercial measures to prevent employees from unauthorized disclosure of Confidential Information. 5.2.3. If the Customer is required by law to disclose Easy AI's Confidential Information, the Customer must notify Easy AI in advance of such mandatory disclosure (to the extent permitted by law) and will provide Easy AI with reasonable assistance. 5.2.4. The confidentiality provisions herein shall be effective during the term of the Agreement, but the Customer's obligations regarding Confidential Information shall survive for an additional three (03) years after the termination of the Agreement. Upon termination of the Service, the Customer shall immediately return all Confidential Information to Easy AI and destroy all Easy AI Confidential Information, including all copies, notes, and other materials incorporating such Confidential Information, whether in physical or electronic form. However, the Customer will not be required to return or destroy electronic copies automatically stored under the Customer's generally applicable backup policies. All Confidential Information not returned by the Customer under this section will remain subject to the obligations set forth herein, regardless of the expiration or termination of this Agreement, as long as it has not been deleted. 5.3. The Customer may provide or we may request the Customer to provide Easy AI (or other entities providing Services integrated with Easy AI) from time to time with requests for improvements, ideas, corrections, enhancements, comments, surveys, suggestions, or recommendations, and other feedback regarding the Service or Websites we operate (collectively, "Feedback"). When the Customer provides us with any Feedback, the Customer agrees to grant us a worldwide, non-exclusive, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use, copy, distribute, publicly display, perform, or exploit. The Customer grants the right to incorporate the Feedback in whole or in part into the Service or Website without any restrictions or obligations for the purpose of operating, developing, providing, promoting, and improving the Service or Website, including research, developing new features, and assisting us in our marketing efforts. 5.4. The Customer undertakes to indemnify Easy AI and fulfill legal liabilities arising from: (i) misuse or disclosure of login information; (ii) unauthorized use of the Service by the Customer or End Users; (iii) violation of third-party service terms and third-party rights; (iv) violation of laws related to business operations and the Service; (v) unlawful disclosure or processing of Customer Data; (vi) claims of breach of confidentiality obligations, intellectual property rights, privacy rights related to Customer Data; (vii) misconduct or negligence of the Customer, affiliates, end users, or representatives. 5.5. Easy AI has the right to seek urgent injunctive relief, in addition to other rights and remedies under the law, to prevent serious breaches of confidentiality.

Fees and Payment Terms

6.1. The Customer acknowledges and agrees to pay fees at the current rates set on the Websites applicable to the Customer's Service unless otherwise specified in the Contract Template, if any. 6.2. All payments will be non-cash transactions, made electronically. The Customer agrees that Easy AI will send payment receipts/confirmations and payment reminders by electronic means only. Payment receipts/confirmations for all payments will be provided electronically and stored in the Customer's Account. 6.3. If Easy AI does not receive payment on time according to the receipt or payment reminder, we have the right, without liability to the Customer and without prejudice to other rights and remedies under this Agreement or the law: (i) to suspend access, including disabling the Customer's Account, to all or part of the Service, and we will not be obligated to provide any or all of the Service while the relevant receipt(s) remain unpaid; and (ii) to charge interest from the date the Fee is due at a rate not higher than the maximum legal rate permitted by applicable law. 6.4. Easy AI, at its sole discretion, may change Service fees with prior notice, including, without limitation, in the case of Service expansion or further development. 6.5. Unless expressly agreed otherwise, all amounts in the Agreement, Contract Template, or price list are exclusive of taxes, duties, tariffs, or similar charges, domestic or international, imposed by any tax authority, such as value-added tax, sales tax, use tax, or withholding tax, which may be assessed by any jurisdiction (collectively, "Taxes"). The Customer is responsible for paying all Taxes related to the Customer's purchases hereunder. The Customer must pay all fees without any right to counterclaim, offset, deduction, or withholding, unless required by law. If a deduction or withholding is required by law, the Customer must pay additional amounts so that Easy AI receives the full amount as if there were no deduction or withholding. The Customer must pay all fees for the Service according to the current pricing plan, including any applicable taxes, unless otherwise agreed. If Easy AI is required to pay or collect taxes for which the Customer is responsible under Clause 6, Easy AI will invoice and the Customer must pay, unless the Customer provides a valid tax exemption certificate from the appropriate tax authority.

Service Subscription Plans

7.1. We do not provide refunds, offsets, or credits for any unused Service time for any reason before the end of the Subscription Term (as defined below).

7.2. Details regarding the availability of subscriptions for Trial Services are as follows: 7.2.1. Upon registration, the Customer is granted access to a new Trial Account, fully featured, without charge, and valid for a specified period (depending on the Service) to familiarize themselves with the Service before subscribing to Paid Services. Trial Services are subject to this Agreement. During the trial period, we do not require the Customer to pay fees. 7.2.2. To be eligible for Trial Services, the Customer must register for the Service for the first time. Trial Services are provided on an "as is" and "as available" basis without any warranties other than those expressly stated, and Easy AI makes no representations or warranties to the Customer that: (a) the Customer's use of Trial Services will meet the Customer's requirements, (b) the Customer's use of Trial Services will be uninterrupted, accurate, secure, accessible, or error-free. 7.2.3. The Customer agrees that Easy AI will not be liable to the Customer or any third party arising from or related to Trial Services. 7.2.4. Notwithstanding anything to the contrary in points 7.2.2. and 7.2.3. above, the Customer will be fully liable for any damages arising from or related to the Customer's use of Trial Services. Any breach by the Customer of the Agreement, applicable laws, or generally accepted standards and principles, and any indemnification obligations of the Customer hereunder. 7.2.5. The right to use Trial Services is valid only for the period specified by Easy AI at its sole discretion and is designed to allow the Customer to evaluate the Service during that period. Easy AI may, at its sole discretion, at any time before or during that period, discontinue providing Trial Services and terminate the right to use Trial Services with immediate effect. Upon expiration or termination of that period, the Customer's rights under this Agreement to Trial Services will be terminated.

7.3. Details regarding the availability of subscriptions for Free Services are as follows: If the Customer uses any Services free of charge, all provisions applicable to Trial Accounts will apply mutatis mutandis.

7.4. Details regarding the availability of subscriptions for Paid Services are as follows: 7.4.1. At the end of the Trial Service, if the Customer wishes to continue using the Service, the Customer will be required to provide payment details to make the subscription fee at the current rates listed on the applicable Website. The Customer is responsible for all fees in their Account. We do not provide refunds and/or pro-rata refunds for processed payments, and this policy applies to all Customers. 7.4.2. The Agreement will be entered into for the term specified by the Customer or as defined in the applicable Contract Template ("Subscription Term"). The term of the Agreement will automatically renew for subsequent periods equal to the expiring Subscription Term unless otherwise agreed or the Account has been closed. 7.4.3. Paid Services may be terminated at any time: (i) By the Customer when closing their Account. Before closing the Account, the Customer is responsible for notifying us of the decision to close the Account and following the appropriate steps to close the Account according to the subscribed Service. Closing the Account means that further use of the Service on the current Account will no longer be possible, and upon closure, the Account will become inactive immediately; (ii) We may close or suspend Paid Services or any functional part of the Service without prior notice to the Customer if the Customer violates any provision of this Agreement, applicable laws, or uses the Service improperly by the Customer or End Users. None of the above Account closure or suspension methods before the end of the Subscription Term for which payment has been made will require Easy AI to refund any amount for unused time. 7.4.4. Easy AI is not liable in any way for any damages incurred by the Customer, End Users, or any other third party due to the suspension or closure of the Account by the Customer or the Company.

7.5. Details regarding the availability of subscriptions for Experimental Features and Beta Services are as follows: 7.5.1. Easy AI may offer products, features, or components of the Service in various experimental, closed/open beta, or pre-release versions, referred to as "Experimental Features and Beta Services," and are not considered part of the Service under the Agreement. 7.5.2. When the Customer accesses Experimental Features and Beta Services: (i) for testing, evaluation, and feedback purposes only; (ii) data submission and processing are entirely voluntary by the Customer. By participating, the Customer agrees to allow Easy AI to access Data to assist in processing as described. The Customer accepts all risks and responsibilities when using and agrees not to disclose information about the characteristics, features, or performance of Experimental Features and Beta Services, unless required by law. 7.5.3. In some cases, we may charge for access to Experimental Features and Beta Services, but the terms set out in section 7.5 herein will continue to apply. 7.5.4. Easy AI has the exclusive right to determine the duration, suspend, modify, delete data, or discontinue providing Experimental Features and Beta Services without notice or liability. If Experimental Features and Beta Services become available, Easy AI may issue separate terms for their use. 7.5.5. When providing opinions or feedback about the Service, the Customer agrees to grant the Company full rights to use, incorporate, and exploit that opinion to develop and upgrade the Service without charge, including copying, distributing, and creating derivative works in any form. Any modifications, upgrades, features, or functions of the product developed using your Feedback will remain the sole intellectual property of Easy AI. 7.5.6. You acknowledge and agree that Experimental Features and Beta Services may be inoperable, incomplete, or subject to frequent changes and have not been fully tested; are provided "as is" and "as available" without warranty of any kind, whether express or implied, and Easy AI has no obligation to provide maintenance, updates, or bug fixes in Experimental Features and Beta Services, which may result in limitations, delays, and other issues when using. 7.5.7. To the maximum extent permitted by applicable law, we disclaim all obligations or liabilities for Experimental Features and Beta Services, including any support, warranty, and indemnity obligations of any kind. Easy AI disclaims any obligation to provide maintenance, updates, support, or fix any errors, defects, or inaccuracies in Experimental Features and Beta Services. 7.5.8. We are not liable to the Customer or any third party, whether under the Agreement or Contract Template or otherwise, for any harm or damage arising from or related to your use of Experimental Features and Beta Services.

Secondary Terms

8.1. We represent and warrant to the Customer that (i) during the term of the Agreement, the Company will ensure the accessibility and continuity of the Service for its intended purpose, and (ii) any support will be provided professionally by competent personnel. If the Service is likely to infringe, the Company has the right to: (i) modify the Service so that it does not infringe; or (ii) terminate the agreement or affected service. 8.2. The Customer acknowledges that the Service and Content are provided on an "as is" and "as available" basis, may be changed or discontinued at Easy AI's discretion, without any warranties, including merchantability, fitness for a particular purpose, non-infringement, title, or from a course of dealing; does not guarantee absolute accuracy, security, accessibility, integrity, and continuity of the Service; is not responsible for lost, altered, or intercepted data over transmission lines not owned by it; does not guarantee response times or transmission performance; and has the right to maintain or modify the Service without notice. 8.3. Easy AI will not be liable in the following cases: (i) use of the Service as modified or combined in a manner not in accordance with instructions; (ii) statements or actions of third parties on the Service; (iii) the customer's failure to comply with obligations; (iv) problems arising from the use of the Internet and communications; (v) use of equipment or specifications provided by the Customer; (vi) third-party complaints, suspension, or closure of the Account due to the Customer's fault; (vii) the customer's use of third-party services; (viii) damages suffered by the Customer due to the inability to use the Service, including actual damages, lost profits, lost data, computer damage, replacement costs, downtime, and company reputation. 8.4. Factors beyond Easy AI's control affecting service quality, including but not limited to: third-party actions, force majeure, Easy AI or Customer technical issues, will not constitute a breach of the Agreement. The Service may be temporarily suspended for maintenance or upgrades without constituting a breach. Easy AI will endeavor to minimize disruptions and is not liable for damages when due to factors outside of our control.

8.5. In no event shall Easy AI's total liability to the Customer, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with this Agreement, exceed the total Fees paid by the Customer in the twelve (12) months immediately preceding the event giving rise to the claim.  

8.6. We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your use of or inability to use the Service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Service; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Service; and/or (vi) any user content or the defamatory, offensive, or illegal conduct of any third party.  

8.7. The Customer agrees to indemnify, defend, and hold harmless Easy AI and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with: (i) your use of the Service; (ii) your violation of this Agreement; (iii) your violation of any third-party rights, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.  

Term and Termination

9.1. This Agreement will commence on the date you accept it and will continue until terminated by this section.

9.2. We may terminate this Agreement at any time with or without cause by providing you with notice.

9.3. You may terminate this Agreement at any time by closing your Account and ceasing to use the Service.

9.4. Upon termination of this Agreement, all rights and licenses granted to you under this Agreement will immediately terminate, and you must cease all use of the Service.

9.5. We will not be liable to you or any third party for any termination of this Agreement, except as required by applicable law.

9.6. Upon termination, Easy AI may delete or destroy all Customer Data associated with your Account, unless otherwise required by applicable law.

Force Majeure

10.1. Neither party shall be liable for any failure or delay in performing its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.  

Governing Law and Dispute Resolution

11.1. This Agreement shall be governed by and construed by the laws of Vietnam, without regard to its conflict of law provisions.  

11.2. Any dispute arising out of or in connection with this Agreement shall be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to the competent court in Vietnam.  

Miscellaneous

12.1. This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written.  

12.2. You may not assign or transfer this Agreement or any rights or obligations under this Agreement without our prior written consent.

12.3. We may assign or transfer this Agreement or any rights or obligations under this Agreement at any time without your consent.

12.4. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.  

12.5. Our failure to enforce any right or provision of this Agreement will not be considered a waiver of those rights.

12.6. Any notice required or permitted to be given under this Agreement must be in writing and sent by email or certified mail to the address provided by the other party.

12.7. The section headings in this Agreement are for convenience only and have no legal or contractual effect.
